Terms of Service

1. About these terms

These terms govern your use of Ordaily, an AI-powered executive assistant operated by Ordaily (Pty) Ltd, registration number 2026/475666/07 (“Ordaily”, “we”, “us”), a company incorporated in South Africa. By creating an account or using the service, you agree to these terms. If you do not agree, please do not use the service.

2. Your account

You must provide accurate registration information and keep it up to date. You are responsible for keeping your password secure and for any activity under your account. Notify us immediately at help@ordaily.ai if you suspect unauthorised access.

3. Subscription and billing

• Subscriptions are billed monthly or annually in advance through PayFast or a comparable South African payment processor. All prices are in South African rand and include VAT where applicable.
• You may cancel at any time from the Billing section. Cancellation takes effect at the end of the current billing period.
• Refunds for the unused portion of a paid period are at our discretion and considered case-by-case.
• Tier changes (upgrade or downgrade) are prorated.
• We may change pricing with at least 30 days notice via email.
• There is no setup fee on any tier. Assisted onboarding is provided free of charge.
• Annual subscriptions are refundable only within a short window after the initial payment; after that window they are non-refundable.

4. Free preview accounts

Free preview accounts may be provided at our discretion and may be withdrawn at any time. Preview accounts have limited functionality and exist so you can evaluate the service before you buy.

5. Acceptable use

You agree not to use Ordaily to:

• Send spam, unsolicited bulk messaging, or harassment via WhatsApp or email.
• Impersonate any person or business.
• Violate intellectual property rights, privacy rights, or any applicable law.
• Distribute malware, viruses, or harmful code.
• Attempt to access accounts or data not belonging to you.
• Reverse-engineer the service or circumvent rate limits.
• Use the service for any unlawful or fraudulent purpose.

Breach of acceptable use may result in immediate suspension. Repeat or serious breaches result in account termination without refund.

6. AI-generated content

Ordaily uses AI services (Anthropic, OpenAI, ElevenLabs) to generate drafts, summaries, transcripts, voice output, and other content. AI output may contain errors, omissions, or hallucinations. You are responsible for reviewing any AI-generated content before sending, publishing, or acting upon it. We provide no warranty that AI output will be accurate, complete, or fit for any particular purpose.

7. Third-party integrations

When you connect Ordaily to third-party services (Gmail, Microsoft, WhatsApp, Fireflies, WHOOP, and others) you grant Ordaily permission to access the relevant data through their official APIs. Your use of those services remains subject to their own terms. We are not responsible for outages, changes, or decisions made by third parties.

8. Data and privacy

We process personal data as described in our Privacy Policy. You can request deletion at any time per the Data Deletion Instructions.

9. Service availability

We target 99.5% monthly uptime for the core dashboard and email processing services, but do not guarantee uninterrupted service. Planned maintenance is announced at least 24 hours in advance where possible. We are not liable for downtime caused by upstream providers, including Google, Microsoft, Anthropic, PayFast and Fly.io, or by factors beyond our reasonable control.

10. Limitation of liability

To the maximum extent permitted by South African law, Ordaily's total liability under these terms is limited to the amount you paid for the service during the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill.

11. Indemnity

You agree to indemnify Ordaily against claims arising from your breach of these terms or your misuse of the service.

12. Intellectual property

Ordaily is a trademark of ORDAILY (PTY) LTD. The platform software, its design and its documentation are our intellectual property. You retain ownership of all your own data processed through the service.

13. Suspension and termination

We may suspend or terminate your account immediately for serious breaches of these terms, fraud, or risk to other users. On termination, your data is retained for 30 days for export and is then deleted unless required for legal reasons. You may instead exercise your POPIA right to immediate deletion at any time, subject to a 7-day soft-delete window during which the request can be cancelled.

14. Changes to these terms

We may update these terms periodically. Material changes are communicated by email at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance.

15. Governing law and disputes

These terms are governed by the laws of the Republic of South Africa. The courts of the Western Cape have exclusive jurisdiction over any dispute, subject to your right to lodge a complaint with the South African Information Regulator on privacy-related matters.
